By accessing and using Speakly AI’s services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with these Terms, you must not use our services.

2. Definitions

• “Account” refers to your registered user account with Speakly AI.
• “Services” refers to all services provided by Speakly AI, including APIs, software, hardwear, and websites.
• “User” refers to any individual or entity using Speakly AI’s services.
• “Content” refers to any data, information, or material uploaded, transmitted, or otherwise made available through our services.

3. Use of Services

• License: Speakly AI grants you a non-exclusive, non-transferable, revocable license to use our services in accordance with these Terms.
• Restrictions: You agree not to:
  • Use our services in violation of any law or regulation.
  • Compromise, circumvent, or disrupt any security measures.
  • Use our services to develop a competing product.
  • Reverse engineer, decompile, or disassemble our services.
  • Exceed usage limits or engage in excessive or abusive use.

4. Data Privacy and Security

• We have implemented measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure. All information you provide to us is stored on our secure servers behind firewalls. The safety and security of your information also depend on you. Where we have given you (or where you have chosen) a password for access to certain parts of our Services, you are responsible for keeping this password confidential. We ask you not to share your password with anyone.
• Unfortunately, the transmission of information via the Internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted to our services or Website.
• In the event that any information under our control is compromised as a result of a breach of security, we are committed to promptly investigating and notifying affected users no later than 48 hours after the discovery of the breach. It is our responsibility to demonstrate that all notifications were made as required, including evidence demonstrating the necessity of delay. Affected users will be notified via email and phone within the timeframe for reporting breaches, and provided with guidance on steps users can take to protect themselves, along with contact information for further inquiries.

5. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information exchanged as part of the services, using it solely for the purposes of these Terms.

6. System Change

• Speakly AI uses commercially reasonable efforts to maintain the highest service availability. However, we cannot guarantee that the Services will operate uninterrupted or error-free. We perform service maintenance and use commercially reasonable efforts to schedule system downtime during off-peak hours to avoid service interruptions and delays. We will also use commercially reasonable efforts to notify the Customer in advance of any scheduled downtime.

7. Intellectual Property

• Ownership: Speakly AI retains all rights, title, and interest in its services and content. Users retain ownership of their own data.
• Feedback: Any feedback provided by users can be used by Speakly AI without restriction or compensation.

8. Termination

• By User: You may terminate your use of the services at any time by closing your account.
• By Speakly AI: We may suspend or terminate your access to our services for violation of these Terms or other reasons at our discretion.
• Effects of Termination: Upon termination, your rights to use the services will immediately cease, and you must destroy any copies of the software and documentation.

9. Limitation of Liability

To the maximum extent permitted by law, Speakly AI shall not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of our services.

10. Governing Law

These Terms are governed by the laws of the jurisdiction where Speakly AI is headquartered, without regard to its conflict of laws principles.

11. Changes to Terms

Speakly AI reserves the right to modify these Terms at any time. We will provide notice of any significant changes, and your continued use of the services constitutes acceptance of the updated Terms.
